Bylaws of the Auburn Republican City Committee
ARTICLE I
The Committee name shall be the AUBURN CITY REPUBLICAN
COMMITTEE (the Committee).
ARTICLE II
All registered Republicans in the City of Auburn qualify
for membership to the Committee. The Auburn City
Republican Committee will elect delegates and
alternatives to the State Convention. All Committee
Republicans elected as Delegates and Alternates to the
State Convention must be duly qualified members of the
Committee. Members will be elected by a majority vote of
the Committee. The Committee may remove a duly elected
member only upon written notice to the member ten days
prior to the meeting and upon a vote of two-thirds of
the votes cast.
ARTICLE III
OFFICERS AND ELECTIONS
(1) The Officers of the Committee shall consist of a
Chairperson, Vice-Chairperson, Secretary, Treasurer, and
Finance Director. Each position shall have powers
specified in Article V.
(2) These officers shall be elected biennially by the
members of the Committee at the State Caucus.
Thereafter, the first meeting of the Committee shall be
called to order by the Chairperson, or, in the event of
the Chair’s absence or failure to act, by the Vice
Chairperson, and if neither present, by the Secretary.
(3) Notice of the place and time of the first meeting
shall be given by the above named officials, either by
announcement of such time and place at the Caucus or,
otherwise by reasonable notice to the Committee members.
(4) The Committee shall fill a vacancy in any office at
a legally called meeting as provided in Article VIII. A
vacancy shall be filled by majority vote.
ARTICLE IV
DUTIES OF THE COMMITTEE
The Committee shall be responsible for the welfare of
the Republican Party in the City of Auburn. It shall
take whatever steps necessary to strengthen the Party by
encouraging all persons to register and enroll in the
Republican Party and to vote in all citywide elections.
It shall encourage and support all Republican
candidates, participate in recruitment efforts, issue
publicity and arrange rallies and other meetings as
determined by the Committee. The Committee shall provide
proper information to the public, cooperate with the
County and State Committees, and attend to the necessary
duties associated with the furtherance of the foregoing
purposes.
ARTICLE V
OFFICERS AND THEIR DUTIES
(1) THE CHAIRPERSON shall preside over meetings of the
Committee, shall be responsible for the orderly
functioning of the Committee and shall appoint
Sub-Committees as deemed necessary.
(2) THE VICE-CHAIR shall preside over the meetings of
the Committee in the absence of the Chairperson and
shall perform the duties of the Chairperson in his or
her absence, if authorized to do so by the majority of
the Committee.
(3) THE SECRETARY shall keep a proper and accurate
record of the actions of the Committee, attend to the
correspondence of the Committee, notify the membership
of meetings, prepare agendas for meetings, and take
proper minutes at each meeting. The Secretary shall
maintain a current list of all members, as defined in
Article VII, for roll call, if taken.
(4) THE TREASURER shall receive and keep strict account
of all money paid to said committee, and make regular
reports to the membership of the status of the treasury
of the Committee as requested by the Chairperson or by a
vote of the Executive Committee, as defined in Article
VI. Money may not be disbursed without the approval of
the Executive Committee. It is also the Treasurer’s
responsibility to keep orderly bank statements, register
all deposits, and file with the Secretary of State
yearly ( money raised by the Committee must be declared
to the State for tax purposes).
ARTICLE VI
EXECUTIVE COMMITTEE
(1) The Executive Committee shall consist of all
officers to the Committee. It will be the duty of the
Executive Committee to disburse all funds of the
Committee for political purposes.
(2) At any meeting of the Executive Committee, three
shall constitute a quorum.
(3) Meetings of the Executive Committee shall be called
by the Chairperson or, in his or her absence or
inability to act, the Vice-Chair. All members of the
Executive Committee shall have actual personal notice of
such meeting, either by phone, letter/e-mail, or
personal contact.
ARTICLE VII
VOTING
(1) Each member of the Committee shall be entitled to
one vote on all questions at any regular or special
meeting if present.
(2) No person shall be entitled to vote by proxy.
ARTICLE VIII
CALLING OF MEETING
(1) A meeting of the Committee may be held at any time
upon the call of the Chairperson or, in the
Chairperson’s absence or inability to act, by the
Vice-Chair.
(2) Upon written petition of at least three members of
the Committee, filed with any member of the Executive
Committee, the notified member of the Executive
Committee shall instruct the Secretary to send notice of
a petitioned for meeting. If the Secretary fails to do
so, the requesting Executive Committee member shall be
empowered to send the aforementioned notice.
(3) With the exception of the first meeting of the
Committee, provided for in Article III , notice of any
meeting of the Committee shall be given in writing or
E-mailed at least ten days before said meeting is to be
held. Notice shall contain the time and place of the
meeting and, so far as possible, the meeting’s purpose.
(4) The Committee shall hold at least four meetings a
year.
ARTICLE IX
QUORUM
Three members of the Committee shall constitute a
quorum.
ARTICLE X
AMENDMENTS
These bylaws may be amended by any Committee meeting by
a majority vote of the valid votes cast, provided a
notice, in writing, of the proposed amendment is mailed
physically or electronically to each member at least one
week prior to the date of the meeting.
ARTICLE XI
RULES
“Robert’s Rule of Order” shall prevail at all meetings
of the Committee.
These bylaws were adopted and approved as of February 2,
2008 at the Auburn GOP Caucus.
